Fund DataSite

Conditions of Access

I am being granted access to the information contained on the NewWorld DataSite (the "DataSite") in order to review certain information related to a possible investment in NewWorld Environmental Opportunities, L.P. (the "Fund"). I understand that my access to this DataSite is governed by the following conditions:

1. All of the information contained on the DataSite is strictly confidential. I will maintain the information in confidence and will not disclose any of the information to others except as expressly permitted by NewWorld Capital Group, LLC ("NewWorld") or required by law.
2. I will not attempt to download, scan, copy, print or otherwise capture any of the information contained on the DataSite, except that I may print information for which the print capability has been enabled as indicated in the DataSite index. I will not attempt to circumvent any of the security features of the DataSite and will not enable or allow others to access the DataSite using my DataSite authorization password.
3. The information on the DataSite has been prepared to assist interested parties in evaluating a possible commitment to the Fund, and NewWorld does not represent the DataSite as containing all information that may be required or needed in order to evaluate a potential commitment.
4. The information on the DataSite does not constitute an offer to sell, or the solicitation of an offer to purchase, an interest in the Fund. Such an offer will be made only by means of the confidential Private Placement Memorandum for the Fund (the "Memorandum") which may be accessed through the DataSite. Prospective investors in the Fund are urged to review the Memorandum in full, particularly the risk factors noted therein. An investment in the Fund entails a high degree of risk.
